1. Agreement to Terms
By accessing or using WCNegentropy's website, open-source software, research publications, or AI models, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
WCNEGENTROPY HOLDINGS LLC ("WCNegentropy," "we," "us," or "our") is a deep-tech IP holding company and research lab. We publish open-source software, research papers, and experimental AI models under various licenses.
2. Scope of Services
2.1 Open-Source Software
We publish software under open-source licenses, including:
- MIT-Licensed Software: retro-vibecoder (Universal Project Generator) — freely usable, modifiable, and distributable
- AGPLv3-Licensed Software: MAGUFT computational framework, MagRot simulator — copyleft requirements apply
2.2 Research Publications
Research papers and documentation under Creative Commons Attribution 4.0 International (CC BY 4.0), including MAGUFT theoretical papers and MagRot framework specifications.
2.3 AI Models
Experimental AI models published on HuggingFace (BitTransformerLM, WrinkleBrane), licensed under AGPLv3 or AGPL-3.0 respectively.
3. Intellectual Property & Licensing
3.1 IP Ownership: All intellectual property is held by WCNEGENTROPY HOLDINGS LLC. Open-source licenses grant usage rights but do not transfer ownership.
3.2 MIT License (retro-vibecoder): You may use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the software, subject to the MIT License terms including the copyright notice requirement.
3.3 AGPLv3 License (MAGUFT, MagRot, AI Models): You may use, modify, and distribute the software, provided that:
- Derivative works must be released under the same AGPLv3 license
- Network use (SaaS) requires source code availability to users
- Proper attribution and copyright notice must be maintained
- Complete corresponding source code must be made available
3.4 CC BY 4.0 License (Research): You may share and adapt our research publications for any purpose, including commercial, provided you give appropriate credit, link to the license, and indicate if changes were made.
3.5 Commercial Licensing: If you wish to use AGPLv3-licensed software in a proprietary, closed-source product or SaaS without complying with AGPLv3 copyleft requirements, you must obtain a commercial license. Contact contact@wcnegentropy.com for commercial licensing inquiries.
4. Research & Experimental Software Disclaimer
4.1 Experimental Nature: MAGUFT, MagRot, BitTransformerLM, and WrinkleBrane are experimental research projects. They are provided for research, academic, and educational purposes. They are not production-ready and should not be relied upon for critical applications.
4.2 Theoretical Framework: MAGUFT is a theoretical physics framework under active development. Claims and predictions within the framework are subject to ongoing validation and peer review.
4.3 No Guarantees: We make no guarantees about the accuracy, completeness, or reliability of research results, computational outputs, or model predictions.
5. Acceptable Use
When using our website, software, or research, you agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights beyond what the applicable license permits
- Use our AI models to generate harmful, misleading, or deceptive content
- Misrepresent WCNegentropy's research findings or falsely claim affiliation
- Distribute malware or harmful code through our platforms
- Attempt to circumvent license terms or usage restrictions
6. Warranties and Disclaimers
6.1 AS-IS Basis: ALL SOFTWARE, RESEARCH, AND AI MODELS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6.2 Third-Party Services: We are not responsible for the availability, performance, or terms of third-party platforms (GitHub, HuggingFace, NPM, etc.) where our projects are hosted.
6.3 Website: While we strive to keep our website accurate and accessible, we do not guarantee uninterrupted access or error-free content.
7. Limitation of Liability
7.1 No Consequential Damages: In no event shall WCNegentropy be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our software, research, or website.
7.2 Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
8. Contributions
8.1 Open-Source Contributions: By submitting pull requests, issues, or other contributions to our GitHub repositories, you agree that your contributions will be licensed under the same license as the project you are contributing to.
8.2 Attribution: We will provide appropriate attribution to contributors as described in each project's contributing guidelines.
9. Governing Law
9.1 Jurisdiction: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
9.2 Dispute Resolution: Before filing any legal action, parties agree to attempt resolution through good-faith negotiation for 30 days.
10. General Provisions
10.1 Amendments: We may update these terms at any time. Continued use after changes constitutes acceptance.
10.2 Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
10.3 Entire Agreement: These terms, together with the applicable open-source license for each project, constitute the entire agreement between you and WCNegentropy.
