Terms of Service

1. Agreement to Terms

By accessing or using WCNegentropy's services, website, or research projects, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

WCNegentropy ("we," "us," or "our") provides digital services exclusively to New Jersey local businesses, including web development, e-commerce setup, automation solutions, and experimental AI research projects.

2. Services Provided

2.1 Digital Services

We provide the following services to New Jersey local businesses:

• Website development and design
• E-commerce setup and management (Shopify, Wix, custom platforms)
• Marketing automation and CRM integration
• Domain registration and hosting setup
• Business email and Google Workspace configuration
• In-person consultation, setup, and training at client locations
• Technical support and maintenance services

2.2 Research Projects

We maintain experimental AI research projects available on Hugging Face, including:

• BitTransformerLM: Experimental bit-level transformer (AGPLv3 license)
• WrinkleBrane: Experimental wave-interference memory system (AGPL-3.0 license)
• Custom research projects available under separate agreements

3. Service Agreements and Pricing

3.1 Service Packages: All service packages require a written agreement specifying scope, deliverables, timeline, and pricing. Pricing listed on our website is subject to change and represents starting rates.

3.2 Payment Terms: Setup fees are due upon project commencement. Monthly management fees are billed in advance and due on the 1st of each month. Late payments may incur a fee of $50 or 5% of the outstanding balance, whichever is greater.

3.3 Cancellation: Services may be cancelled with 30 days written notice. Setup fees are non-refundable. Monthly fees will be prorated for the notice period.

3.4 Scope Changes: Changes to project scope after commencement may require additional fees and timeline adjustments, to be agreed upon in writing.

4. Client Responsibilities

Clients are responsible for:

• Providing timely access to necessary accounts, credentials, and information
• Reviewing and approving deliverables in a timely manner
• Maintaining backup copies of their own data
• Ensuring content provided to us is legally owned and licensed
• Being available for scheduled in-person consultations and training sessions
• Complying with third-party platform terms (Shopify, Wix, Google, etc.)

5. Intellectual Property

5.1 Client Content: Clients retain all rights to content, trademarks, and materials they provide. Clients grant us a license to use such materials solely for providing the contracted services.

5.2 Deliverables: Upon full payment, clients receive ownership of custom code, designs, and content created specifically for their project, excluding any pre-existing tools, frameworks, or templates.

5.3 Research Projects: AI research projects are licensed under their respective open-source licenses (AGPLv3, AGPL-3.0). Use of research projects is governed by those licenses, not these Terms of Service.

5.4 Portfolio Use: We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6. Warranties and Disclaimers

6.1 Service Warranty: We warrant that services will be performed in a professional and workmanlike manner. We will correct any defects in our work at no charge within 30 days of delivery.

6.2 Third-Party Services: We are not responsible for the performance, availability, or terms of third-party services (hosting providers, Shopify, Wix, payment processors, etc.).

6.3 Research Projects Disclaimer: AI research projects are provided "AS IS" for research and experimental purposes only. They are not production-ready and come with no warranties of fitness for any particular purpose.

6.4 NO WARRANTIES: EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

7.1 Liability Cap: Our total liability for any claims arising from services provided shall not exceed the amount paid by the client for those services in the 12 months preceding the claim.

7.2 Excluded Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

7.3 Force Majeure: We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.

8. Confidentiality

We agree to maintain the confidentiality of sensitive business information provided by clients. We will not disclose client information to third parties except:

• As necessary to provide the contracted services
• With client's written consent
• As required by law or legal process
• To protect our rights or property

9. Termination

9.1 By Client: Clients may terminate services with 30 days written notice. Clients remain responsible for all fees incurred prior to termination, including setup fees and the 30-day notice period.

9.2 By WCNegentropy: We may terminate services immediately if: (a) client fails to pay fees within 15 days of due date; (b) client breaches these terms; or (c) client engages in illegal activities or activities harmful to our reputation.

9.3 Effect of Termination: Upon termination, we will provide client with copies of their data and deliverables (if paid in full). Access to ongoing services and maintenance will cease.

10. Acceptable Use

Clients agree not to use our services for:

• Illegal activities or content that violates local, state, or federal law
• Infringing on intellectual property rights of others
• Distributing malware, viruses, or harmful code
• Spamming, phishing, or fraudulent activities
• Hate speech, harassment, or discriminatory content
• Adult content (unless specifically contracted and legally compliant)

11. Data and Backups

11.1 Client Data: While we implement reasonable backup procedures, clients are ultimately responsible for maintaining their own backups of critical data.

11.2 Data Retention: After service termination, we will retain client data for 30 days before permanent deletion. Clients must download their data during this period.

11.3 No Server-Side Data: Our website and contact forms do not store data on our servers. Contact form submissions generate mailto links processed by the client's email application.

12. Research Project Terms

12.1 Experimental Nature: AI research projects (BitTransformerLM, WrinkleBrane) are experimental and not intended for production use. They are provided for research and academic purposes only.

12.2 Open Source Licenses: Research projects are governed by their respective open-source licenses (AGPLv3, AGPL-3.0). These licenses require attribution and mandate that derivative works be released under the same license.

12.3 No Commercial Support: We do not provide commercial support, warranties, or guarantees for research projects. They are provided "as is" for educational and research use.

13. Indemnification

Clients agree to indemnify and hold harmless WCNegentropy from any claims, damages, or expenses arising from: (a) client's breach of these terms; (b) client's content or materials; (c) client's violation of any law or third-party rights; or (d) client's use of third-party services integrated into their website or application.

14. Governing Law and Disputes

14.1 Governing Law: These Terms of Service are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions.

14.2 Venue: Any disputes shall be resolved in the state or federal courts located in New Jersey. Both parties consent to the personal jurisdiction of these courts.

14.3 Dispute Resolution: Before filing any legal action, parties agree to attempt resolution through good-faith negotiation for 30 days.

15. General Provisions

15.1 Entire Agreement: These terms, together with any written service agreements, constitute the entire agreement between parties and supersede all prior agreements.

15.2 Amendments: We may update these terms at any time. Continued use of services after changes constitutes acceptance of the new terms. Material changes will be communicated via email.

15.3 Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

15.4 Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.5 Assignment: Clients may not assign or transfer these terms without our written consent. We may assign these terms to any successor or affiliate.
